Terms of Service

1. Agreement to Terms

By creating an account, accessing the platform, or using any part of the service, you confirm that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

We may update these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use after the effective date constitutes acceptance.

2. Definitions

  • ●"AsOf", "we", "us", "our" — the operator of the AsOf platform.
  • ●"Customer", "you", "your" — the entity or individual that subscribes to or uses the platform.
  • ●"Platform" — the AsOf blockchain balance scanning service, including all APIs, dashboards, reports, and related tooling.
  • ●"Scan" — a request to query blockchain balance data for one or more wallet addresses as of a specified date.
  • ●"Scan Results" — data returned by a Scan, including token balances, USD valuations, verification status, and associated metadata.
  • ●"Entity" — the server-side data partition for an AsOf account.
  • ●"Workspace" — your individual account environment, including saved wallets, scan evidence and any connected accounting providers.
  • ●"Authorised User" — an individual authorised to act on your behalf using their own account. This does not imply shared account roles or permissions.

3. Description of Service

AsOf is a multi-chain blockchain balance scanner. The platform produces historical balance snapshots at specified dates across supported blockchain networks, with method-based cross-checking where available designed to support reconciliation and reporting workflows.

Core capabilities include:

  • ●Historical and current-date balance scanning across multiple blockchain networks.
  • ●EVM cross-checks compare an on-chain read with transfer-history replay using the same provider. Bitcoin uses an independent second provider. Some balances have only one available method.
  • ●Token price retrieval from third-party pricing oracles, applied to produce USD-denominated valuations.
  • ●Coverage and valuation disclosures to support your own reconciliation and reporting.
  • ●CSV export of Scan Results with verification metadata.
  • ●Individual accounts with separate wallet lists, subscriptions and prepaid scan credits. Shared team roles and client workspaces are currently unavailable.
  • ●AsOf Accounting: read-only access to your connected QuickBooks Online or Xero company, shown in AsOf and in Google Sheets (see Section 3A).

The list of supported chains and tokens is maintained by AsOf and may be updated at any time. Not all tokens on all chains are supported.

3A. Connected Accounting Data (AsOf Accounting)

AsOf Accounting can connect to your QuickBooks Online or Xero company using the provider's own authorisation screen. Access is read-only: AsOf cannot create, change, or delete anything in your accounting file. You may only connect a company you are authorised to connect, and you must be authorised to share its data through your AsOf account and any Google Sheets workbook you bind to it.

Connected data is available to the AsOf account that connected it and to workbooks bound to that account; AsOf does not check QuickBooks user roles. You are responsible for which workbooks you bind and how you share them. Data you read into Google Sheets is subject to your Google account settings and sharing.

You can disconnect a company at any time in AsOf, or revoke AsOf in QuickBooks. Disconnecting deletes AsOf's stored tokens and asks the provider to revoke access (skipped where another AsOf entity has connected the same company, in which case you can revoke AsOf inside QuickBooks or Xero yourself). AsOf does not store the accounting records you request. See our Privacy Policy for details. Some reads may be unavailable depending on your QuickBooks plan, region, or the permissions of the QuickBooks user who connected AsOf. Accounting connections are separate from the optional AsOf connector for LLMs, which does not have access to your accounting data.

4. Important — Not Professional Advice

The platform is a data tool. Scan Results and USD valuations are provided for informational purposes only and do not constitute financial advice, tax advice, legal advice, or accounting advice of any kind.

You are solely responsible for how you use Scan Results, including in tax filings, financial reports, or any other purpose. You should independently verify all data before relying on it.

AsOf does not provide accounting services, accounting automation, or any form of professional advisory. All accounting policies, mapping decisions, and reporting positions are determined solely by you and/or your professional advisors.

By configuring entities, submitting wallet addresses, and running scans, you accept full responsibility for your use of the platform and its outputs, including any tax, financial, or other consequences arising from your reliance on Scan Results.

5. Data Accuracy and Limitations

While we employ method-based cross-checking where available and maintain robust data pipelines, we cannot guarantee that Scan Results are 100% accurate, complete, or error-free. Known limitations include:

  • ●Token prices are sourced from third-party pricing oracles and may differ from prices on specific exchanges.
  • ●DeFi protocol positions (staking, lending, liquidity pools) are not captured. Only wallet-held token balances are scanned.
  • ●Certain staking mechanisms may not appear in historical scans depending on the blockchain and staking method.
  • ●Some chains may only support live scans (no historical snapshots).
  • ●Newly added or low-liquidity tokens may have limited or no pricing data.
  • ●Block-level timing differences between chains may cause minor discrepancies near midnight UTC.
  • ●Pricing data reflects broad market averages and should not be relied upon as the sole basis for financial reporting or investment decisions.

The platform relies on third-party blockchain data providers, pricing oracles, and infrastructure services. We are not responsible for outages, inaccuracies, or changes in third-party services.

6. Wallet Addresses, Private Keys, and Security

6.1 Public Blockchain Data

The blockchain scanning features operate exclusively on publicly available blockchain data. Wallet addresses and transaction histories are public information recorded on blockchain networks. AsOf reads this public data — it does not create, modify, or control any on-chain activity. Connected accounting data is different: it is private to you and is covered in Section 3A.

6.2 Never Share Private Keys or Seed Phrases

You must never input, upload, or share private keys, seed phrases, mnemonic phrases, wallet passwords, or API keys with write/trade/transfer permissions into the platform. AsOf will never ask you for these. We only require public wallet addresses. We cannot access, move, or control funds in any wallet.

AsOf accepts no liability whatsoever for any loss, theft, or compromise of funds or data arising from you or your Authorised Users submitting private keys, seed phrases, or credentials with permissions beyond read-only access. This applies regardless of how or where such information was entered.

6.3 Your Security Responsibilities

While blockchain data (wallet addresses, balances, transactions) is publicly available, the context you add to the platform — including entity names, organisation names, wallet labels, and the association between wallets and entities — may constitute confidential or commercially sensitive information. You are solely responsible for protecting this information.

Specifically, you are responsible for:

  • ●Protecting your email and identity-provider accounts, sign-in links, connector grants and API credentials. Do not share AsOf credentials.
  • ●Reviewing connected LLM applications, their spending permissions, and the sharing settings of any enabled workbook.
  • ●Promptly removing access for any user who should no longer have it.
  • ●Not sharing account credentials with anyone.
  • ●Ensuring that exported reports (CSV, PDF) are stored and shared securely by your organisation.

AsOf is not liable for any exposure of your confidential information arising from weak passwords, shared credentials, misconfigured access permissions, or any other failure to maintain adequate security on your side. We implement technical safeguards (row-level security, encrypted connections, session management) but these do not protect against credential compromise at the user level.

7. Account Registration and Security

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must notify us immediately if you become aware of any unauthorised access. We are not liable for any loss arising from unauthorised use of your account where you have failed to maintain adequate security.

8. Subscription and Payment

Subscriptions are offered per AsOf account. Monthly access, included credits where applicable, and separate prepaid scan-credit top-ups are set out on the Billing page. Sheets and Accounting require invitation and provisioning before purchase. All prices are exclusive of VAT unless otherwise stated.

Subscriptions are billed monthly in advance. You authorise the recurring charge shown in Checkout. Manage or cancel through Billing. Access depends on the subscription status received from Stripe; failed payments can suspend access. Unused prepaid scan credits do not currently expire. Refunds and disputes pause new paid scans until funding is reconciled.

Subscription fees are non-refundable except where required by applicable law or where AsOf has materially failed to provide the service. Plan-change timing, prorations and cancellation dates are shown in Stripe billing management before you confirm a change.

9. Acceptable Use

You agree to use the platform only for lawful purposes. You shall not:

  • ●Attempt to reverse-engineer, decompile, or disassemble any part of the platform.
  • ●Use the platform to facilitate money laundering, terrorist financing, sanctions evasion, or any illegal activity.
  • ●Scan wallet addresses for the purpose of surveillance, harassment, stalking, or violating the privacy rights of others.
  • ●Share account credentials with unauthorised third parties.
  • ●Attempt to circumvent rate limits, scan quotas, or access controls.
  • ●Use automated scripts, bots, or scrapers beyond the documented API.
  • ●Submit wallet addresses that you do not have a legitimate business reason to scan.
  • ●Resell, sublicense, or redistribute Scan Results without our prior written consent.
  • ●Use the platform to provide a competing service or develop a similar product.

10. Intellectual Property

All intellectual property in the platform — including software, algorithms, user interface designs, documentation, and branding — is owned by AsOf or its licensors. These Terms do not transfer any IP rights to you.

You retain ownership of all data you input, including wallet addresses and entity configurations. You grant us a limited licence to process this data solely to provide the service.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

  • ●Our total aggregate liability for any and all claims shall not exceed the total fees paid by you to AsOf in the 12 months preceding the claim.
  • ●We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunity, or costs of substitute services.
  • ●We shall not be liable for any loss arising from your reliance on Scan Results for tax filings, financial reports, investment decisions, or any other purpose.
  • ●We shall not be liable for losses caused by third-party service outages, blockchain network failures, or pricing oracle inaccuracies.

Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by English law.

12. Indemnification

You agree to indemnify and hold harmless AsOf, its directors, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

  • ●Your use of the platform or Scan Results.
  • ●Your breach of these Terms.
  • ●Your violation of any applicable law or regulation.
  • ●Any third-party claim arising from your use of Scan Results in tax filings, financial reports, or any other context.

13. Termination

You may cancel your subscription at any time via the platform or by emailing us. Cancellation takes effect at the end of the current billing period.

We may suspend or terminate your access immediately if you breach these Terms, fail to pay fees after the grace period, or if your use poses a security risk or legal liability.

Subscription cancellation does not automatically close your account or delete scan evidence. Request account closure and data deletion at jono@asof.xyz. We will confirm the scope and timing, including any records retained by law, as described in the Privacy Policy.

14. Confidentiality

Each party agrees to keep confidential any non-public information received from the other party. This obligation survives termination for 3 years.

15. Force Majeure

Neither party shall be liable for failure to perform where such failure results from circumstances beyond reasonable control, including natural disasters, war, pandemics, government action, blockchain network failures, or third-party infrastructure outages.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales. Both parties agree to attempt good-faith resolution for at least 30 days before initiating formal proceedings.

17. General

  • ●Entire Agreement: These Terms, together with the Privacy Policy and Acceptable Use Policy, constitute the entire agreement between the parties.
  • ●Severability: If any provision is unenforceable, the remaining provisions continue in full force.
  • ●Waiver: Failure to enforce any right does not constitute a waiver of that right.
  • ●Assignment: You may not assign these Terms without our written consent. We may assign in connection with a merger, acquisition, or sale of assets.
